Adobe and Figma announced on Monday that their planned $20 billion merger is over, bowing to pressure from regulators in the UK and EU. The deal, once set to revolutionize the design software landscape, has fallen victim to antitrust concerns.

Following the termination, Adobe will pay Figma a $1 billion reverse termination fee. Both companies expressed their disagreement with the regulatory decisions, but acknowledged the complexities of moving forward with the merger.

“While Adobe and Figma shared a vision to redefine the future of creativity and productivity, we believe it is in our respective best interests to move forward independently,” said Adobe CEO Shantanu Narayen. Despite the setback, Narayen remains confident in Adobe’s “massive market opportunity and mission to change the world through personalized digital experiences.”

The cancellation of the Figma acquisition is a significant blow to Adobe’s ambitious growth plans.
